1. Acceptance
These Terms of Service ("Terms") are a binding agreement between you and Principle Stash Inc., a Delaware corporation doing business as Anesthify ("Anesthify," "we," "us," or "our"). By accessing or using our website, applications, or services (collectively, the "Service"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility
- You must be at least 18 years old and able to form a legally binding contract. You represent and warrant that you meet these requirements.
- Access to the anonymous forum, facility reviews, and salary-submission features requires a verified CRNA status (via NPI verification through NPPES). Other users may browse public content but may not post.
- If you represent an employer, recruiter, or staffing firm, you warrant that you have authority to bind that organization and that job listings you post are genuine, lawful, and accurate.
- You may not use the Service if you are barred from doing so under U.S. law or the law of your place of residence, or if your access has previously been terminated by us.
- We may immediately terminate any account we reasonably believe belongs to a person under 18 or to a previously terminated user.
3. Your Account
- You are responsible for all activity under your account. Keep your sign-in email and any verification codes confidential.
- One account per person. Do not create duplicate accounts, register under a false identity, or use another person's NPI.
- No sharing. You may not transfer, sell, lease, or loan access to your account. Your account is personal to you.
- Notify us promptly if you suspect unauthorized access to your account. We are not liable for losses caused by unauthorized use of your account where you have failed to take reasonable steps to protect it.
- You may close your account at any time. We may suspend or terminate your account as described in Section 17.
4. Your Content and License
You retain ownership of the content you submit ("Your Content"), which includes forum posts, reviews, salary submissions, profile data, messages, job listings, applications, resumes, and uploaded files.
You grant Anesthify a worldwide, non-exclusive, royalty-free, fully sublicensable license to host, store, reproduce, modify (for technical reasons only, such as format conversion), create aggregate and anonymized analytics from, display, and distribute Your Content as reasonably necessary to operate and improve the Service, including distributing Your Content to other users in the manner contemplated by the Service (for example, showing a facility review to visitors of the facility page).
This license is perpetual for content you have made public and that has been interacted with by others (to preserve the integrity of discussions and aggregate statistics), and survives termination of your account for that content. We will comply with deletion requests under applicable law.
Name, likeness, and display-name use. You grant us a limited, royalty-free license to use your forum display name, badges, and non-identifying activity metrics (for example, "a verified CRNA in California") in aggregate marketing, case studies, and analytics. We will not use your legal name or any specific identifying combination that could reasonably re-identify you without your separate, prior written consent.
You represent and warrant that you own Your Content or have the necessary rights to grant the licenses above, that Your Content does not violate any law or any third-party right (including copyright, trademark, privacy, publicity, or confidentiality obligations), and that Your Content will not cause us to violate any agreement or law.
5. Feedback
If you provide us suggestions, ideas, feature requests, bug reports, or other feedback about the Service ("Feedback"), you grant Anesthify a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, fully sublicensable license to use, reproduce, modify, create derivative works from, distribute, and commercialize the Feedback for any purpose, with no obligation to compensate or credit you. You may choose not to provide Feedback. Feedback is not confidential and does not create any confidentiality obligation on our part.
6. Acceptable Use
You will use the Service only in a lawful and good-faith manner. You will not do any of the following:
- Violate the law, including laws related to discrimination, harassment, export controls, and intellectual property.
- Post Protected Health Information (PHI) or any patient-identifying clinical detail. Anesthify is not a HIPAA-covered entity or business associate, and the Service is not an appropriate venue for PHI. Posting anonymously does not make this acceptable. The rule protects the patient, not the poster. Do not share, even within an otherwise-anonymous post:
- Patient names, initials, medical record numbers, or contact information.
- Exact dates (birth, admission, procedure, discharge) or locations smaller than a state, including facility names combined with a date or procedure.
- Unique combinations of demographics, diagnosis, comorbidities, or case features that could re-identify a patient when combined with facility or timing context.
- Photos, scans, monitor screenshots, or chart excerpts.
- Dox, harass, or threaten any person, including through posts that identify a colleague, patient, employer, or any other individual by name or by a unique combination of identifiers.
- Impersonate any person or organization, or misrepresent your credentials, specialty, license status, employment history, or NPI.
- Use, copy, or download any part of the Service or any content on it to train or fine-tune any artificial-intelligence or machine-learning model, or to build any derivative data product, except with our express written permission. This includes large language models, recommender systems, and any automated system whose output would compete with the Service. You authorize us to enforce this restriction with technical measures.
- Scrape, crawl, or bulk-download any part of the Service, use automated agents beyond officially supported APIs, circumvent rate limiting, or bypass access controls.
- Use information obtained from the Service to solicit, contact, or target any user outside of the Service in a manner that circumvents the messaging, application, and job-board features we provide.
- Reverse-engineer, decompile, or attempt to derive the source of any part of the Service, including the anonymity mechanisms described in our Privacy Policy.
- Upload malware, interfere with the operation of the Service, or probe, test, or breach security.
- Send spam or unsolicited commercial messages through messaging, forum threads, or applications.
- Post content that infringes copyright, trademark, trade secret, right of publicity, or contractual obligations (including NDAs).
- Misuse verification features, including attempting to obtain a Verified CRNA badge by other means.
- Use the Service to make hiring decisions in a manner that violates the Equal Employment Opportunity Commission guidelines, Title VII, the ADA, the ADEA, applicable state laws, or other applicable anti-discrimination laws.
- Resell, sublicense, or commercially redistribute the Service or any data obtained through it, except as expressly permitted.
- Evade moderation or suspension by creating new accounts or otherwise.
7. Anonymous Identity Compact
The anonymous forum, facility reviews, and salary submissions are designed so that your identified account is not linked in our database to your anonymous identity. Our Privacy Policy explains how this works and its limits. In exchange for these protections, you agree:
- Not to intentionally re-identify any other user based on what they have shared anonymously, and not to compile or share dossiers that link anonymous content to real identities.
- Not to attempt to circumvent the anonymity architecture, including by correlating timestamps, IP addresses, or account metadata.
- To accept that anonymity is not absolute. We may disclose the link between an identified account and an anonymous identity when required by valid legal process, to investigate violations of these Terms, or to protect people's rights and safety, as described in the Privacy Policy.
- That reviews and salary submissions must be based on your personal first-hand experience and must be substantially truthful and not misleading.
8. Job Board Rules
8.1 Employers and recruiters
- Listings must be for real, currently available positions. No bait, resume farming, or evergreen postings for roles that do not exist.
- Information in listings (compensation, scope, call schedule, location, employment status) must be accurate and complete in all material respects.
- Listings must comply with applicable employment, labor, and non-discrimination laws, including pay-transparency laws where applicable.
- No required fees from candidates, no pay-to-play placement, and no shadow listings that do not disclose the actual employer when required.
- You are responsible for the lawful handling of any applicant information you receive.
8.2 Candidates
- Applications, resumes, and profile data must be truthful in all material respects.
- Apply only to roles you are genuinely interested in and qualified for.
- Respect employers' decisions. Do not harass, retaliate against, or doxx recruiters or employers for application outcomes.
9. Credentials and Verification
- You warrant that your NPI, license numbers, certifications, and credential documents you submit are current, accurate, and genuinely yours.
- You authorize us to verify your credentials through the NPPES registry and, where supported, through state licensing boards, certifying bodies, and DEA records.
- Any Verified CRNA badge, credential check, or facility badge is informational only and is not a certification by Anesthify of your competence or fitness for any role.
- You will promptly update your profile when a credential changes, expires, is suspended, or is revoked.
- Misrepresentation of credentials is grounds for immediate termination and may be reported to licensing authorities.
10. Professional Disclaimers
- Not medical advice. Content on the Service, including forum posts and clinical discussions, is for peer-to-peer professional discussion only. It is not medical advice and is not a substitute for independent clinical judgment, institutional policy, or the supervision of a physician or other qualified provider where required. Do not rely on it to treat any patient.
- Assumption of risk. You assume all risk associated with your use of, or reliance on, any information or content on the Service, including clinical discussions, salary benchmarks, and reviews. Decisions you make based on content on the Service are your sole responsibility.
- Not legal, tax, or financial advice. Compensation benchmarks, contract summaries, and market data are informational. Consult a licensed professional for decisions that depend on accuracy.
- Not an employment agency. Where we facilitate contact between candidates and employers, we are not the employer and are not a party to any employment contract that results.
- No guaranteed results. We do not guarantee job placements, interviews, salary outcomes, or any particular match or offer.
- Public registry data. NPPES data we display is drawn from the public U.S. government registry and is subject to that registry's accuracy.
11. Moderation
We may, at our discretion and without obligation, review, remove, hide, edit for clarity, or restrict access to any content that we believe violates these Terms or is otherwise objectionable. We may deploy automated moderation tools. We may preserve content and account information when legally required.
12. Intellectual Property
The Service and all of its components, including the software, user interfaces, name, logos, and content we produce (but not Your Content), are owned by Anesthify or our licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for its intended purpose. No other rights are granted by implication, estoppel, or otherwise.
13. DMCA
If you believe content on the Service infringes your copyright, send a notice to legal@anesthify.com that includes: (a) your physical or electronic signature; (b) identification of the copyrighted work; (c) identification of the infringing material and its URL on the Service; (d) your contact information; (e) a statement that you have a good-faith belief that use is not authorized; and (f) a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act on the owner's behalf. We respond to properly submitted notices under the DMCA and may remove or disable access to allegedly infringing material. Repeat infringers are subject to account termination.
14. Third-Party Services
The Service integrates with third-party services, including identity providers (Google, Apple, LinkedIn), the NPPES registry, infrastructure and email delivery (Cloudflare, Neon), and AI providers. These services are subject to their own terms and privacy policies, and we are not responsible for their content, availability, or practices.
15. Payments
Some features may require a paid subscription or transaction fees. Where payment applies, you agree to the prices and terms presented at checkout. Unless otherwise stated: fees are non-refundable except as required by law; subscriptions renew automatically at the end of each period until cancelled; taxes are your responsibility. We may change pricing for future periods with notice.
16. Electronic Communications and Signatures
You consent to receive communications from us electronically: by email, SMS, in-app notice, or post on the Service. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that they be in writing. You consent to the use of electronic signatures and acknowledge that your electronic acceptance of these Terms constitutes a valid signature under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN) and analogous state laws. You may withdraw this consent, but doing so will prevent us from providing the Service.
17. Termination
- By you: You may stop using the Service and close your account at any time in your account settings.
- By us: We may suspend or terminate your access at any time, with or without notice, for any reason, including breach of these Terms.
- Notice and cure for non-material breach: For alleged breaches that are not of Sections 6 (Acceptable Use), 7 (Anonymous Identity Compact), 9 (Credentials and Verification), or 12 (Intellectual Property), which may be enforced immediately, the non-breaching party will give written notice describing the breach and 30 days to cure before pursuing further remedies.
- Effect of termination: Sections that by their nature should survive termination (including Sections 4, 5, 10, 12, 18, 19, 20, 21, 22, and 24) will survive.
18. Disclaimers of Warranties
The Service is provided "as is" and "as available," without warranty of any kind. To the maximum extent permitted by law, Anesthify and its affiliates, officers, employees, agents, and licensors disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and quiet enjoyment. We do not warrant that the Service will be uninterrupted, error-free, or secure; that defects will be corrected; or that the Service is free of viruses or other harmful components. Any material you access through the Service is at your own risk.
19. Limitation of Liability
To the maximum extent permitted by law, in no event will Anesthify or its affiliates, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; for lost profits, revenue, data, reputation, or opportunity; for personal injury or property damage; for interruption of service; or for any other damages arising out of or relating to the Service or these Terms, whether based in contract, tort (including negligence), strict liability, or any other theory, even if advised of the possibility of such damages.
Our aggregate liability for all claims relating to the Service or these Terms will not exceed the greater of (i) the amount you paid us in the 12 months before the event giving rise to the claim, or (ii) one hundred U.S. dollars ($100).
Basis of the bargain. The disclaimers, limitations of liability, and indemnification provisions set forth in these Terms are an essential part of the agreement between you and Anesthify, and they will apply even if a limited remedy is found to have failed of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability will be limited to the greatest extent permitted by law.
20. Indemnification
You agree to defend, indemnify, and hold harmless Anesthify and its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) Your Content; (b) your use of the Service; (c) your violation of these Terms or any law; (d) your violation of any third-party right; or (e) any misrepresentation you make. We reserve the right to assume exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with our defense and will not settle any claim without our prior written consent.
21. Dispute Resolution and Arbitration
Informal resolution. Before filing a claim, you and Anesthify agree to try to resolve the dispute informally. Send a written notice describing the dispute to legal@anesthify.com. If not resolved within 60 days, either party may initiate arbitration.
Binding arbitration. You and Anesthify agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively "Disputes") will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, in Wilmington, Delaware, in English, before one arbitrator. The Federal Arbitration Act governs this arbitration agreement. Judgment on the award may be entered in any court of competent jurisdiction.
Class-action waiver. You and Anesthify agree that any arbitration or proceeding will be conducted only on an individual basis and not as a class, consolidated, or representative action. The arbitrator may not consolidate or join more than one person's claims and may not preside over any form of representative or class proceeding.
Mass-filing / batch arbitration protocol. If 25 or more similar Disputes are filed against us by or with the coordinated assistance of the same counsel, law firm, or organized group within a 180-day period ("Mass Filing"), the following batching procedure applies in place of any provider rule to the contrary:
- Claims will be grouped into batches of no more than 50 claimants each, ordered by the date the notice of Dispute was received.
- The parties will jointly select up to 10 bellwether claims (5 per side) to proceed first. All other claims in the Mass Filing will be stayed pending resolution of the bellwether claims.
- The bellwether results will be used to inform, and the parties will make a good-faith attempt to resolve, the remaining batches through mediation. A second bellwether round of up to 10 claims will be conducted if mediation does not result in resolution.
- Statutes of limitation and filing deadlines are tolled for all stayed claims during the batching process.
- This protocol is intended to make individualized arbitration practicable while preserving the claims of every claimant. If this protocol is held unenforceable, the claims in the Mass Filing shall proceed in court on an individual (non-class) basis, and the class-action waiver in this Section remains in effect.
Fees. If AAA rules would require you to pay more than $250 in filing or case-initiation fees for an individual Dispute, Anesthify will pay the excess, provided your claim is not frivolous under AAA's frivolity definitions or Federal Rule of Civil Procedure 11.
Exceptions. Either party may bring claims for (a) small-claims court where jurisdiction permits, or (b) injunctive or equitable relief to protect intellectual property, confidential information, or to enforce Section 6 (Acceptable Use) or Section 7 (Anonymous Identity Compact), without having to arbitrate.
Opt-out. You may opt out of this arbitration agreement by sending written notice to legal@anesthify.com within 30 days of first accepting these Terms. Your notice must include your name, email, and a clear statement that you opt out of arbitration. Opting out does not affect any other provision of these Terms.
Severability. If any portion of this Section 21 is found unenforceable, the remainder remains in effect, except that if the class-action waiver is found unenforceable, then either party may elect to have the claim heard in court, and the remainder of this Section 21 survives.
22. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. For any matter not subject to arbitration, the exclusive venue is the state and federal courts located in Delaware, and you consent to personal jurisdiction there. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
23. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email and give you a reasonable opportunity to review before they take effect. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the changes. If you do not agree, you must stop using the Service.
24. General Provisions
- Entire agreement. These Terms, the Privacy Policy, and any order form or additional terms you agree to are the entire agreement between you and Anesthify regarding the Service and supersede prior agreements on the same subject.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later. Waivers must be in writing to be effective.
- Severability. If any provision is found unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force.
- Assignment. You may not assign these Terms without our written consent, and any attempted assignment is void. We may assign them without restriction in connection with a merger, acquisition, reorganization, or sale of assets.
- Notices. We may give notice through the Service, by email to your account email, or by any other reasonable means. Notices to us must be sent to legal@anesthify.com.
- Force majeure. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, internet or infrastructure outages, or governmental action.
- Relationship. Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and Anesthify.
- Interpretation. Section headings are for convenience only and do not affect interpretation. Words in the singular include the plural and vice versa. "Including" means "including without limitation." Examples are illustrative, not exhaustive. Each party has had the opportunity to review these Terms with counsel; any ambiguity will not be construed against the drafting party.
- Translations. If these Terms are translated into a language other than English, the English version controls in the event of a conflict.
- Government users. If you are a U.S. government user, the Service is a "Commercial Item" as defined in FAR 2.101, and the government's rights are only those granted to all other users.
- Export controls. You will comply with all applicable export- control, sanctions, and anti-boycott laws.
- No third-party beneficiaries. These Terms do not grant rights to any person other than you and Anesthify.
